Terms & Conditions

THIS AGREEMENT GOVERNS YOUR PURCHASE OF PRODUCTS FROM SONY ELECTRONICS INC. (“Sony”). PLEASE READ IT CAREFULLY. NO OTHER TERMS APPLY. BY SUBMITTING YOUR ORDER YOU ARE AGREEING TO THESE TERMS.

THIS AGREEMENT CONTAINS A BINDING INDIVIDUAL ARBITRATION CLAUSE AND CLASS ACTION WAIVER. IF YOU WISH TO OPT OUT OF THESE PROVISIONS, PLEASE FOLLOW THE INSTRUCTIONS IN THE DISPUTE RESOLUTION SECTION BELOW.

Definitions:

     “Product” means any item or service offered for sale or licensing on the Website or Sony’s direct sales materials (ads, catalogs, specifications sheets, etc.), including but not limited to hardware devices, software, accessories, configurations of hardware and software, CDs, DVDs, Blu-ray discs, PlayStation games and all associated documentation.

     “Website” means the Sony website located at electronics.sony.com

Entire Agreement:

     The terms and conditions herein may NOT be altered, supplemented, or amended by the use of any additional document(s) that purport to be an agreement of the parties. Any attempt to supplement or amend these terms and conditions or to enter an order for Product(s) which is subject to additional or altered terms and conditions shall be null and void.

Orders/Acceptance by Sony/Acceptance of This Agreement by You:

     All orders of Products placed by you with Sony are non-cancelable and shall be subject to acceptance by Sony and these Terms and Conditions. Sony reserves the right to reject any order you place with us, and/or to limit the quantities on any order. Notwithstanding any order confirmation or other communications sent by Sony, your order shall not be deemed accepted by Sony until Sony’s shipment of the Products ordered. Your submission of your order shall constitute your full acceptance of these terms and conditions. IF YOU DO NOT ACCEPT THESE TERMS, PLEASE DO NOT SUBMIT AN ORDER.

Limited Warranties:

     With respect to Sony branded Products, Sony makes no warranties except those stated in the Sony limited warranty cards included with the Products. With respect to third party (i.e. non-Sony branded) Products, such Products are sold by Sony AS IS. However, the third party manufacturer or supplier of these Products may offer its own warranties, and you agree to look solely to such manufacturer or supplier for any warranty related claims. SONY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MECHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT.

Software License Terms:

     All software (including pre-loaded software contained in hardware) (“Software”) is provided subject to such Software’s end user license agreement. You agree that you will be bound to such agreement.

Payment Terms; Price Confirmation/Billing Errors:

     Unless otherwise indicated, the purchase price of Products will be billed in full at the time of Product shipment. Sony will charge your selected payment method upon shipment.

     At the time you place your order, Sony will pre-authorize your payment method for the total purchase amount plus applicable taxes and shipping charges. Once Sony ships your order, Sony will collect payment from your selected payment method. If your order includes multiple products, it may be separated into multiple shipments. If this is the case, then each shipment will be billed to your payment method separately.

     Sony accepts MasterCard, Visa, American Express, JCB, Discover, PayPal, Affirm, Apple Pay and Google Pay. Sony does not accept cash, COD, purchase orders, or personal checks. Express Checkout available for Google Pay, Apple Pay and PayPal. Please note for PayPal: Only US PayPal accounts are accepted. There are current limitations when using Express Checkout, such as: Store credit cannot be used and only one product can be purchased at a time. Sony payment terms are subject to change without notice at Sony’s sole discretion.

     For pre-orders and orders with extended future delivery dates, your credit card will have a pre-authorization hold placed on the credit card at the time your order is submitted. If the pre-authorization hold has expired when the Product is available for shipment, your credit card will have a re-authorization prior to shipment and payment capture will occur when your order is ready to be shipped. If the re-authorization fails, your order will be cancelled, and an email will be sent to you indicating the credit card re-authorization failure so you can follow up with your bank and re-order when you are ready. If the re-authorization fails, we will email you and ask you to update to a new credit card. The time length you will have to be able to update to a new credit card will vary based upon the form of payment originally used and when the product will be ready to ship, we recommend you update to a new credit card ASAP.

     For orders from the Website, we confirm the price of a Product as part of our order processing procedures. In the unlikely event that a price stated on a Sony Website or direct sales materials are incorrect, then the following applies: If a Product’s correct price is lower than our stated price, we charge the lower price and ship you the Product. If a Product’s correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.

     Colorado Residents: Effective July 1, 2022, the state of Colorado imposed a retail delivery fee on all deliveries by motor vehicle to a location in Colorado with at least one (1) item of tangible personal property subject to state sales or use tax. Deliveries include when any taxable goods are mailed, shipped, or otherwise delivered by motor vehicle to a purchaser in Colorado. The fee (27 cents July 2022 – June 2023; 28 cents July 2023 – June 2024; 29 cents July 2024 – June 2025, future fees subject to the state law) will be indicated on the purchase receipt as “retail delivery fee”. Please note: In the event the purchase is returned to Sony, the retail delivery fee will not be refunded because, per the state law, the retail delivery fee is forwarded to Colorado and its purpose is to support the environmental impact of deliveries, which is not undone by a return of the purchase.

     Minnestota Residents: Effective July 1, 2024, the state of Minnesota imposed a retail delivery fee on all transactions valued $100 or more on all deliveries to a location in Minnesota with at least one (1) item of tangible personal property before application of state and local sales and use taxes. The fee (50 cents July 2024 – June 2025, future fees subject to the state law) is indicated on the purchase receipt as “retail delivery fee”. Please note: The retail delivery fee is nonrefundable in the case of returned merchandise because, per the state law, the retail delivery fee is forwarded to Minnesota; however, if the retail delivery is canceled (and delivery not attempted) the retail delivery fee will be refunded to the purchaser.

Price Match:

     We will match the Product prices of online Sony Authorized Retailers (excluding warehouse club retailers) for immediately available Products, subject to your request and these terms and conditions:

  • For thirty (30) days from the date of sale, we price match Authorized Sony Retailers online prices for in-stock and readily available exact same SKU/Product.
  • If we lower our online price during the time period allowed for returns (thirty (30) days from shipment date), we will match our lower price, upon your request made within thirty (30) days.
  • Sony will only price match new Products (excludes clearance and open-box Products) that are in-stock online and readily available to ship. One price match per identical Product, per customer, at the then-current, pre-tax price available to customers is allowed.
  • Despite any other term and condition to the contrary, Sony’s decision to price match, including to a maximum or minimum dollar amount per Product or order, is based on Sony’s unilateral decision.
  • Preordered products that are lower in price at the time of shipment than when the order was placed will be refunded the difference, after the delivery of the order. Sony will not price match for the following:

  • Prices that are based on intentional or unintentional pricing errors or low-ball offers, system errors or technical glitches, including by Sony Authorized Retailers, as determined by Sony’s unilateral decision.
  • Certain Products as unilaterally determined by Sony, including but not limited to, televisions, digital camera bodies and lenses. A Sony Customer Care representative can help you identify which Products are excluded from price match eligibility.
  • In-store prices.
  • Online prices of retailers who are not Sony Authorized Retailers.
  • Products sold by or shipped from third-party sellers on websites.
  • Pricing that is only available to select groups of customers including loyalty offers, discounts relating to non-warehouse membership or paid loyalty programs and government exchange store offers.
  • Pricing that is for non-consumer usage or customers.
  • Pricing and offers including contract cell phones, service prices (including delivery and installation charges), pre-order offers, rent/lease to own products, liquidation offers, trade-in offers, products denoted as Black Friday pricing and special daily or hourly sales.
  • Any financing offers, bundle offers, subscription services, free products, pricing errors, mail-in offers, coupon offers, products that are advertised as limited quantity, out of stock products, clearance open-box, refurbished, pre-owned, credit card offers, gift card offers, products included in gift card offers, voice-only deals, and products for sale the Sunday before Thanksgiving Day through the Monday after Thanksgiving, whether offered by us or a third party, including Sony Authorized Retailers.

Products:

     Sony continually updates and revises Products. Sony may revise and/or discontinue Products at any time, in its sole discretion. Changes in Products shipped and Products described on this Websites and/or direct sales materials are possible. Sony Products are new unless specified as refurbished.

Coupons & Promotional Codes:

     In Sony promotional offers offering a discount coupon or promotional code (collectively hereinafter referred to as “Coupon”), Sony will email the Coupon to you at the address used to place the order once your order is delivered. The Coupon must be used within 1 year from date of issuance or Coupon is forfeited, void and expired. Coupons are non-transferable, non-redeemable for cash or cash equivalent and have no cash value. Coupons are valid for only 1 purchase/transaction for Sony Electronics merchandise on electronics.sony.com. If Coupon amount is only partially used, the remaining amount is void and will not be refunded, saved or otherwise redeemable. Coupon may not be used on orders whereby the total amount of the order is less than the coupon. Return of the product that qualified for the Coupon or exchange for a product that does not qualify for the same Coupon will void the Coupon. Coupon does not apply to previous purchases, applicable taxes, or shipping and handling. Unless expressly stated in a promotional offer, Coupon may not be duplicated or combined with other offers, promotions or discounts. Subject to product availability, no rain checks issued. Other restrictions may apply. Void where prohibited, taxed or restricted by law and if altered, copied, transferred, or sold.

      To redeem the Coupon, you must type the Coupon code into the promotion box on the Website at the time of purchase and the applicable discount will be deducted from the final price of the qualifying purchase. If you fail to enter the Coupon code at the time of purchase, the purchase will not be eligible for the Coupon discount. Coupon will not be applied to purchases after the purchase transaction is completed. Coupons will not be replaced for any reason.

     Sony has no liability for late, lost or misdirected email, including, but not limited to, if provided inaccurate information or for any loss, damage or injury as a result of technical or telecommunications problems, including security breaches. If such problems arise, then Sony may modify, cancel, terminate or suspend the Coupon.

     You may not use Coupons toward the purchase of refurbished Product.

     Coupon and promotional code offers are valid only in the United States, excluding territories. Coupon code programs may be terminated or modified by Sony at any time in its sole discretion.

Shipping/Delivery

     Free shipping on All Products

  • Orders placed before 2pm EST will be shipped out same day. All other orders are shipped next business day. Estimated delivery is 2-3 business days from ship date. A tracking number will be emailed. (excludes 51” and above TVs)
  • For televisions 51” and above, when your TV ships you will receive an email with tracking information. Our shipping carrier will contact you by phone, email or text approximately 4-9 business days after your order ships to arrange a delivery and, if applicable, an installation appointment that works best for you.

     Express (cost shown in Check Out)

  • Orders placed before 2pm EST will be shipped out same day. All other orders are shipped next business day. Estimated delivery next business day from ship date. A tracking number will be emailed. (excludes 51” and above TVs)

We do not guarantee that your order will not be delayed as there may be issues beyond the control of Sony or the carrier.

We recommend placing orders during the “Holiday Season” (November 1 through December 25) as early as possible as delays may occur beyond the control of Sony or the carrier.

We do not ship to Hawaii, Alaska or territories at this time.

Please note: products that contain Lithium batteries may not be deliverable to APO/FPO addresses.

TVs 51” and above Shipping Details:

     51” and above TVs ship through our carrier for delivery to the threshold of your front door/delivery location. Threshold delivery includes one flight of stairs at the exterior of the delivery address, to bring the shipment to the threshold, or doorway/entrance of the address. The carrier will call you to schedule a time and date for delivery, usually between 4-9 business days. The carrier will contact you (via email, phone call or text) notifying you that shipment is in transit and providing you a link to track your order. Actual delivery will depend upon both the carrier’s and your schedule. In rural areas of the USA carrier may need to enlist the help of a local delivery company to deliver your product. This may increase the expected time to deliver.

If your TV is delivered with a damaged box, please refuse delivery at the door. If you accept the TV delivery with a visible, damaged box, note “damaged” on the receipt when you sign for the TV with the carrier.

     Shipments valued at $999.00+ shipped via certain carriers (i.e., FedEx) require a signature upon delivery. If you are not available to sign for your package, the following will occur:

  1. FedEx will leave a note at your door informing you there is a delivery that requires signature and will mention that another attempt for delivery will occur the following day with a time window.
  2. FedEx will update the same information on the tracking page for your package.
  3. Instructions on how to collect your shipment from FedEx local hub within specified time frame will be mentioned on the FedEx tracking page for your shipment.
  4. FedEx will make 3 attempts to deliver your package, if unable to deliver your package, you will be informed by FedEx via note at your door and your package will be returned to Sony. You will then receive an email once your refund has been issued.

Set Up Service

     Free Delivery + Set Up for TVs 51” or larger (cost shown in Check Out)

     When your TV ships you will receive an email with tracking information. Our shipping carrier will contact you by phone, email or text approximately 4-9 business days after your order ships to arrange a delivery and installation appointment that works best for you.

     Set Up Includes the following additional services by the delivery agents:

  • Unbox the TV and dispose of trash in customer's garbage.
  • Two agents to lift the TV and place on TV stand for TVs above 70".
  • Plug in the TV.
  • Power on the TV to ensure it is working.

     Professional Wall Mounting for TVs 51” or larger (cost shown on Product Page)

      When your TV ships you will receive an email with tracking information. Our shipping carrier will contact you by phone, email or text approximately 4-9 business days after your order ships to arrange a delivery appointment that works best for you.

     Professional Wall Mounting service offered through our Partner Managed Life Services. Managed Life Services will contact you once the delivery appointment has been scheduled with the carrier. You can expect your Wall Mounting appointment to be approximately 1-2 business days after the delivery of your TV, dependent on your and Managed Life Service’s availability. Any delivery date changes Managed Life Services will reach out to you to reschedule your Wall Mounting Service to be after your new delivery appointment.

     If Managed Life Services can’t get in touch with the customer to schedule the Wall Mounting appointment Managed Life Services will call the customer for three consecutive days, a voicemail will be left (if possible), and a final follow up will be e-mailed. Managed Life Services will notify Sony of no customer response. Sony Customer Service will then attempt to reach the customer one more time, a voicemail will be left with a message, if possible, that informs the customer that the Wall Mounting installation portion of the order will be cancelled and refunded.

     On the day of the Wall Mounting appointment a Managed Life Services technician will contact the customer to advise the estimated time of arrival. Once the technician(s) arrives, they will:

  • Remove the TV from box.
  • Confirm TV placement location.
  • Locate stud(s).
  • Install mount and TV.
  • Take final photos.
  • Two agents for TVs above 55”.

Return Policy:

     Excluding Products marked as refurbished and/or FINAL SALE – NO RETURN** and unless otherwise stated herein, Sony’s return policy allows for most Products purchased directly from the Website and shipped to locations in the United States to be returned by you after obtaining a Sony return authorization number (RMA) during the Return & Exchange Period of 30 days following date of shipment by Sony for a refund of purchase price actually paid minus any return shipping costs.

Please allow up to 10 business days for the refund to your original payment method. If the original form of payment is no longer available, then Sony will issue a check instead, which may take up to 4 weeks.

     PLEASE NOTE: TVs 51” and above WILL HAVE A $150 RETURN SHIPPING FEE (YOU ACKNOWLEDGE AND AGREE TO BE DEDUCTED FROM YOUR REFUND BALANCE). If delivery of your 51” and above TV is refused, or not completed, the $150 fee is not charged.

TV returns 51” and above must be picked up by our partner carrier from the same address to which the TV was delivered.

     In its sole discretion, Sony may additionally charge a restocking fee of 15% of the purchase price (“Restocking Fee”) to all Products.

     Please note: To receive a full refund all items included in the order need to be returned at the same time, if all items are not returned at the same time a partial refund will be provided.

Holiday Season Return Policy:

     You may return eligible Products purchased between November 1 and December 25 (“Holiday Season”) until January 16 of the next calendar year, or within 30 days from date of shipment (whichever is greater), subject to all other terms and conditions set forth in this Agreement. After the aforementioned time period purchases made during the Holiday Season are ineligible for return.

The RMA number may be obtained by:

     1. Logging into your Sony account (if you had a Sony account at the time you placed your order). Go to [Orders]. If the Product is eligible for return there will be an option to click to begin RMA process online. Follow and complete the process. A link to print the shipping label will be provided.

     2. If you placed your order as a guest: Select track my order, enter your email address, and order reference number, then submit. Then select the return/refund option. Follow and complete the process. A link to print the shipping label will be provided.

     3. For any concerns or questions please contact us.

     The RMA must be noted on the outside of the returned Product’s container. RMAs are valid for only 30 days from delivery of Product.

     Products must be returned in the original packaging, with all included accessories, instruction sheets, and with bundled third party and/or Sony merchandise (if applicable). Shipping and handling charges and installation costs are not refundable.

     Once you have printed your return label or have received a label from Sony, please send the Product back to Sony immediately, as you have a limited window for the return to be received by Sony in order for you to receive your refund.

     If you return Product to Sony (i) without a RMA from Sony or (ii) beyond the 30 day issuance period, or (iii) without original packaging, including accessories, instruction sheets, components, Product literature and/or bundled third party and/or Sony merchandise (if applicable), Sony retains the right to either refuse delivery of such return or charge you a 15% Restocking Fee of the purchase price. Please allow up to 7 days after receipt of the returned Product for Sony to credit your account.

     You assume all risk of loss or damage to Product while in transit to Sony.

     Products that have been damaged, missing accessories, instruction sheets or with damaged packaging while in your possession are not eligible for return to Sony.

     **aibo, aibo AI Cloud Renewal Plans, subscriptions, cloud services, movies, music, game hardware, games, software, professional products, gift cards, engraved Products and 500mm super telephoto lens (SAL500F40G) are final sales and can only be exchanged for the same Product if defective.

For Self-Fitting OTC Hearing Aids:

     To return the self-fitting OTC hearing aid, please refer to the place of purchase. For purchases from Sony, returns may be made within 45 days with proof of purchase. In some states OTC Hearing Aids are tax free. Please see a complete list here .

For Returning TVs 51+”:

     Our preferred carrier will contact you within 24 hours to schedule for pickup time.

     Please allow approximately 4 - 7 business days from pick up of the Product to the return to Sony’s warehouse.

     Upon arrival of the returned Product at Sony’s warehouse, your return will be inspected.

     Please allow up to 10 business days for the refund to your original payment method. If the original form of payment is no longer available, then Sony will issue a check instead, which may take up to 4 weeks.

     If you have received damaged, defective or incorrectly shipped Product, please notify Sony Customer Care promptly and within 14 days of receiving the Product.

     For limited warranty terms, please see to the limited warranty card that accompanies the Product.

Shipping and Handling/Risk of Loss:

     Product prices do not include shipping and handling. Sony will use its discretion in selecting a reputable carrier and appropriate means of shipment. Risk of loss or damage to Products in transit is yours. In the event of Product damage or loss during transit, please promptly contact us at 1-800-249-SONY(7669) If your tracking number is showing as delivered and you didn’t receive your order, please promptly contact our Contact Center Sales and Care Team. IMPORTANT: Due to carrier restrictions, reports of lost or missing orders 30+ days after the delivery date cannot be honored and all sales are considered final.

     Sony does not ship to PO Boxes, third party mailbox services or freight forwarders. Sony does ship to APO/FPO for US-based orders only.

     Sony does not ship internationally (including freight forwarders or APO/FPO addresses for international orders) and may not ship to certain locations, even within United States.

     Sony’s aibo is not for sale or use in Baltimore, Maryland* of Illinois, and may not be purchased by or shipped to purchasers or residents in Baltimore, Maryland* or Illinois.

     If you cannot receive or pick-up your order after three attempts for delivery, it will come back to Sony’s warehouse and we will process a refund to your original method of payment. TVs 51” and above require a scheduled delivery. In the event that you do not schedule your delivery online as directed, the carrier will make three attempts to contact you to arrange the delivery date and time.

Extended Service Plans:

     Sony’s Protection Plans (Sony’s Protect and/or Sony’s Protect Plus) are available for purchase (i) before expiration of the limited warranty time period that accompanied the Sony Product; or (ii) upon completion by a Sony authorized servicer of a paid Clean & Check or repair service. Other restrictions may apply, see Terms and Conditions for details protect.electronics.sony.com. Sony’s Protections Plans services are by Registria Customer Experience LLC, 1600 Stout St, #1600, Denver, Colorado 80202. Plan Administrator is Servify US Inc. 5608 17th Ave., NW, Seattle, WA 98107.

     A separate email will be sent to you with Protection Plan details and activation information. If you purchased a Protection Plan as a gift, please contact the Protection Plan support team to transfer the Protection Plan to the gift recipient. Airpeak Products:

     For Maintenance and Safe Use

     In order to use Airpeak safely, before and after each flight please perform inspections, maintenance and replacement of consumables as necessary.

     Always use the latest drone and transmitter system software and the "Airpeak Flight" app, and stop the flight if you notice any abnormalities.

     It is important to know the usage status of the drone, propellers, and batteries. You can check the number of flights of the drone, the flight time, and the number of times the battery is charged on the Airpeak Base app.

     We recommend that you replace the propellers at 100 flights and the battery upon 200 charges or earlier, if needed. Failure to do so may result in an accident with regard to the drone.

     PLEASE NOTE: Sony's regular inspection does not include replacement of propellers and batteries, which are sold separately.

     Sony recommends that you regularly inspect the drone upon 250 flights or 50 hours of flight whichever comes first or as needed based on use.

     Federal Aviation Administration’s Remote ID Rule

     Airpeak ARS-S1 was produced prior to September 16, 2022 and, as a result, is not required to meet the requirements of the Federal Aviation Administration’s Remote ID Final Rule. Remote pilots have until September 16, 2023, or such other date required by the FAA, to ensure drones operated in the USA comply with the Remote ID Final Rule. Sony is under no obligation to retrofit AirPeak drones to meet the requirements of the FAA’s Remote ID Final Rule.

     Prohibited Use of Airpeak drone, Apps or Services

     Purchasers of Airpeak drone hereby acknowledge and agree that Sony, its parent, subsidiaries and affiliates, are strictly committed not to engage in any transactions involving Arms. “Arms” refer to products, software, technologies or services designed for combat attack (i.e., killing or destruction) or that could be diverted and employed for combat attack, including parts, accessories and/or software specially designed for any such products, software, technologies or services. Arms include, but are not limited to, (i) any types of guns (including hunting guns and sport guns) and any telescopic sights for any such guns, (ii) tanks, battleships, submarines and fighters (including attack helicopters), (iii) explosives, (iv) biological or chemical weapons, (v) missiles, (vi) unmanned aerial vehicles equipped with offensive weapons (including dissemination feature of biological or chemical weapons), and (vii) devices or programs specially designed for guidance or attitude control of the items described above.

     Purchasers of Airpeak drone represent, warrant, and covenant that they will not use the Airpeak drone, Apps or Services: (i) to design, develop, manufacture, customize, use, install, inspect or store Arms; (ii) to transport explosives or chemical or biological weapons and other harmful items; and/or (iii) for military activities such as intelligence, surveillance and reconnaissance.

     Purchasers of Airpeak drone represent, warrant, and covenant that they will not resell or otherwise transfer the Airpeak drone, Apps or Services to others who intend to use the Airpeak drone, Apps or Services: (i) to design, develop, manufacture, customize, use, install, inspect or store Arms; (ii) to transport explosives or chemical or biological weapons and other harmful items; and/or (iii) for military activities such as intelligence, surveillance and reconnaissance.

Limitation of Liability:

     BOTH YOUR AND SONY’S LIABILITY SHALL BE LIMITED TO THE PRICE PAID FOR PRODUCT. IN NO EVENT SHALL EITHER YOU OR SONY BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM PERFORMANCE OR FAILURE TO PERFORM UNDER THIS AGREEMENT, OR FROM THE FURNISHING, PERFORMANCE OR USE OF ANY PRODUCTS, GOODS OR SERVICE SOLD PURSUANT HERETO, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, OR OTHERWISE. NEITHER YOU NOR SONY SHALL HAVE ANY LIABILITY TO THE OTHER FOR INDIRECT OR PUNITIVE DAMAGES OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN.

Export:

     Certain Software or other materials that you may obtain through the Website may be further subject to export controls. You will comply with all applicable export and re-export restrictions, laws, and regulations, and you will not transfer, or encourage, assist, or authorize the transfer of any Software to a prohibited country or otherwise in violation of any restriction, law, or regulation.

Taxes:

     Prices do not include any sales, local or other similar taxes. Where applicable, taxes will be shown on and added to your invoice. All such taxes shall be paid by you.

Resale:

     You certify and agree that you are purchasing Product(s) for your own personal use only and not for resale. You shall not resell Products or remove components from Product for resale.

Title:

     Title to Product(s) other than software passes from Sony to you upon shipment from Sony’s facility. Title to software shall remain with the applicable licensor(s).

Dispute Resolution (Including Binding Arbitration):

     “Dispute” is defined as any disagreement, cause of action, claim, controversy, or proceeding between you and any Sony related to or arising out of the sale of the Product by Sony, your purchase and/or use of the Product, or the terms of this Agreement. Dispute is to be given the broadest possible meaning that will be enforced.

     You and Sony agree that all Disputes shall be resolved exclusively through binding arbitration. YOU UNDERSTAND AND ACKNOWLEDGE THAT BY AGREEING TO ARBITRATION, YOU ARE GIVING UP THE RIGHT TO LITIGATE (OR PARTICIPATE IN AS A PARTY OR CLASS MEMBER) ANY DISPUTES IN COURT. You also agree that ANY DISPUTE RESOLUTION PROCEEDING WILL ONLY CONSIDER YOUR INDIVIDUAL CLAIMS, AND BOTH PARTIES AGREE NOT TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. Despite the above, you have the right to litigate any Dispute on an individual basis in small claims court or other similar court of limited jurisdiction, to the extent the amount at issue does not exceed $15,000, and as long as such court has proper jurisdiction and all other requirements (including amount in controversy) are satisfied.

     Arbitration Instructions. To begin Arbitration, either you or Sony must make a written demand to the other for arbitration. The Arbitration will take place before a single arbitrator. It will be administered in keeping with the Expedited Procedures of the Commercial Arbitration Rules, and the Supplementary Proceedings for Consumer-Related disputes when applicable (“Rules”) of the American Arbitration Association (“AAA”) in effect when the claim is filed. You may get a copy of AAA’s Rules by contacting AAA at 1-800-778-7879 or visiting www.adr.org. The filing fees to begin and carry out arbitration will be shared between you and Sony, but in no event shall your fees ever exceed the amount allowable by the special rules for Consumers Disputes provided for by AAA, at which point Sony will cover all additional administrative fees and expenses. This does not prohibit the Arbitrator from giving the winning party their fees and expenses of the arbitration when appropriate pursuant to the Rules. Unless you and Sony agree differently, the arbitration will take place in the county and state where you live, and applicable federal or state law shall govern the substance of any Dispute during the arbitration. However, the Federal Arbitration Act, 9 U.S.C. § 1, et seq., will govern the arbitration itself and not any state law on arbitration. If you purchase the Product in the United States, but subsequently live outside of the United States, arbitration will take place in the county in which you purchased the Product. The Arbitrator’s decision will be binding and final, except for a limited right of appeal under the Federal Arbitration Act. The arbitrator may award declaratory or injunctive relief only to the extent necessary to provide relief warranted by that party’s individual claim, and any court with jurisdiction over the parties may enforce the arbitrator’s decision.

     Opt-Out Instructions. IF YOU DO NOT WISH TO BE BOUND BY THE BINDING ARBITRATION PROVISION, THEN: (1) you must notify Sony in writing within 30 days of the date that you purchased the Product; (2) your written notification must be mailed to Sony Electronics Inc., 16535 Via Esprillo, MZ 1105, San Diego CA 92127, Attn: Legal Department; AND (3) your written notification must include (a) your NAME, (b) your ADDRESS, (c) the DATE you purchased the Product, and (d) a clear statement that “YOU DO NOT WISH TO RESOLVE DISPUTES WITH ANY SONY ELECTRONICS ENTITY THROUGH ARBITRATION AND/OR BE BOUND BY THE CLASS ACTION WAIVER.”

     Opting out of this dispute resolution procedure will not affect the coverage of the Limited Warranty in any way, and you will continue to enjoy the benefits of the Limited Warranty.

Critical Components:

     The Products are not authorized for use as critical components in life support systems or situations where failure to perform can reasonably be expected to cause significant injury to users or others.

Force Majeure:

     Sony shall not be liable for any delay or failure in performance caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, pandemics, epidemics, outbreaks, embargoes, strikes, labor difficulties, equipment failures, shortages or any other like or unlike causes beyond the reasonable control of Sony. Quantities are subject to availability. In the event of shortage, Sony may allocate sales and deliveries in its sole discretion.

Waiver/Invalidity:

     Failure of Sony to insist upon strict performance of any provisions hereof shall not be deemed a waiver of its right and remedies. If any provision of this Agreement is deemed by a court to be unenforceable, the remainder shall stay in effect.

Entire Agreement:

     These terms and conditions constitute the entire and exclusive agreement between you and Sony concerning the Products and your purchase hereunder and supersedes any and all statements or other agreements, whether oral or written, between you and Sony.

Trademark:

     The trademark “SONY” and any other product names, service names or logos of SONY used, quoted and/or referenced in this Web Site are trademarks or registered trademarks of Sony Corporation or any of its affiliates. Other product names and/or company names used in the Website may be protected as their trademarks and/or trade names.
