Executive Severance Agreements and Golden Parachutes (US): The main change in effect will be a case-by-case approach to all executive severance agreements and golden parachutes. 2. Board of Directors - Board Diversity (Canada - TSX-Listed Companies): New diversity requirements will take effect this year. 3. Compensation - Individual Grants to Non-Employee Directors (NEDs): There is a modification in the policy regarding equity grants for Non-Employee Directors (NEDs), in which the old acceptable range (0.25% - 1%) has been eliminated. 4. Compensation - Equity Compensation Plans – NED Participation (Canada - TSX-Listed Companies): There is no longer a limit or threshold which, if exceeded, would trigger a vote against an equity compensation plan. Wondering why CEO pay packages are looking more alike? New research reveals a surprising trend: the structure of executive compensation is homogenising. Institutional investors and proxy advisory firms seem to be driving this one-size-fits-all approach, potentially at the expense of tailoring contracts to individual firms’ needs. Expanded disclosure has also contributed to the convergence. Interestingly, while standardisation simplifies governance and enhances comparability, it may also lead to lower firm valuation and stock returns.
