Executive Severance Agreements and Golden Parachutes (US): The main change in effect will be a case-by-case approach to all executive severance agreements and golden parachutes. 2. Board of Directors - Board Diversity (Canada - TSX-Listed Companies): New diversity requirements will take effect this year. 3. Compensation - Individual Grants to Non-Employee Directors (NEDs): There is a modification in the policy regarding equity grants for Non-Employee Directors (NEDs), in which the old acceptable range (0.25% - 1%) has been eliminated. 4. Compensation - Equity Compensation Plans – NED Participation (Canada - TSX-Listed Companies): There is no longer a limit or threshold which, if exceeded, would trigger a vote against an equity compensation plan. Wondering why CEO pay packages are looking more alike? New research reveals a surprising trend: the structure of executive compensation is homogenising. Institutional investors and proxy advisory firms seem to be driving this one-size-fits-all approach, potentially at the expense of tailoring contracts to individual firms’ needs. Expanded disclosure has also contributed to the convergence.
