Earlier this month, The Texas Committee on Professional Ethics (“PEC”) issued a proposed opinion regarding in-house counsel providing legal services to a company’s customers. PEC was presented with the question of whether a company owned by non-lawyers could use in-house counsel for customers if the company only charged the actual costs of the services. PEC concluded that such representation was prohibited because it violated Rule 5.05(b) of the Texas Disciplinary Rules of Conduct by resulting in the unauthorized practice of law. Even though PEC’s decision is narrow in scope and does not have far-reaching implications at this time, it should be highlighted as non-lawyer-owned businesses try to find ways to provide legal services for financial gain outside the traditional norms of practicing law. Even though Texas seems opposed to such an idea, other states and countries have allowed non-lawyer ownership of legal businesses or have weakened the restrictions concerning fee sharing with non-attorneys. Similarly, it is important to note as the usage of AI becomes more and more commonplace in the practice of law, which creates additional questions concerning the unauthorized practice of law. It is just something further to ponder as the business of practicing law evolves financially, technologically, and otherwise.   The Texas Bar is accepting comments on the proposed opinion until August 13, 2024. Thank you, Sue Reisinger, for the opportunity recently to discuss "Why So Many GCs Are Jumping To Law Firm Partnerships" for Law360 (https://lnkd.in/gY8i5bnU). As Sue and I discussed, the "reverse commute" of #inhousecounsel and #generalcounsel returning to law firm life (temporarily or permanently) is far from new. Last month, the U.S. Environmental Protection Agency published the final Greenhouse Gas Reporting Rule requirements for petroleum and natural gas systems under 40 C.F.R. Part 98, Subpart W in the Federal Register. The changes to this rule resulted from passing the Inflation Reduction Act of 2022 which required EPA to develop standards to collect payment on methane from facilities that exceed specific thresholds. With the FTC effectively outlawing non-compete clauses across the US last month, what effect is this likely to have on corporate America? How will be balance be found between non-solicitation / no poaching clauses (still very much legitimate) and this decision to ban non-competes? I suspect as ever the boundaries will be set by the courts with creeping precedents, but will we ultimately end up where the FTC imagined when creating this final rule, or might it shoot off down an unexpected side road, with all the complications that could create? https://lnkd.in/d6gzSGGG

Buckle up for the next 18 months - Davis Polk & Wardwell LLP has big plans with other Biglaw shops to follow... Davis Polk has announced an increase to associate and lateral partner hiring as well as increases to total comp for leading attorneys, likely through a non-equity partnership tier, which is said to "shape the [legal] market for years to come" The target? Asset Management attorneys across the board and Northern Cali and London. Adding non-equity tiers is nothing new. We've seen Cravath, Swaine & Moore LLP and Paul, Weiss, Rifkind, Wharton & Garrison LLP recently announce this model (while other firms continue to deny that they have a 2-tier model).
