Congratulations to our client on the Appellate Division’s decision dismissing guaranty claims brought against him. The firm’s client had been sued as a third-party defendant in an attempt to hold him personally liable under the guaranty of a $2.4 million note. The appeals court found that Morrison Cohen’s arguments concerning misnomers in guaranties “utterly refuted the factual allegations of the third-party complaint.” This decision highlights the importance of technical perfection when preparing instruments to answer for the debt of another and underscores the litigation risk presented by defects in drafting those documents. “I don't think [the SEC is] in the business of fighting losing battles, and I think this one is a losing battle for them, and they know it,” Partner Brian Forman, who chairs our Investment Funds & Advisers Practice, told Law360 regarding the likelihood that the SEC will appeal the recent Fifth Circuit decision that struck down the Private Fund Advisers Rule. (See: https://lnkd.in/eQeKUk8W) The SEC did not request a Fifth Circuit rehearing of last month's panel decision, which vacated a rule that sought to force the sharing of more detailed information about performance, fees and conflicts of interest from hedge funds, private equity funds and venture capital funds. Although the agency could still appeal its case directly to the Supreme Court, it is unlikely that they will. The new group was created in response to an increase in work from the firm’s luxury brand clients.
