A ruling in the U.S. Securities and Exchange Commission action against SolarWinds swept away much of the basis that the SEC relied upon in its amended complaint. Practically speaking, the focus by companies (public and private) on public security statements goes up, and those statements may become few and far between. Also, securities lawyers will be able to continue tried and true practices on cybersecurity securities disclosure. And, the focus on enhanced disclosure controls during an incident continues.

Today’s #CPPA board meeting provided important insight into #California #privacy enforcement and regulations. Here are some quick takeaways: ⏺ The CPPA board decided not to vote on the new rulemaking package covering topics such as automated decision-making technology and cybersecurity audits. The board will next discuss the rulemaking package at a September meeting. This means that Q2 2025 is likely the earliest the CCPA regulations will be finalized/take effect. ⏺ The CPPA is actively engaged in investigations. Enforcement priorities include opt-out requests, data minimization, consumer rights, and violations impacting vulnerable populations (such as children). Note that the California AG's Office has already brought enforcement actions involving all these issues. ⏺ The CPPA is enhancing its global coordination, collaborating with international authorities like the French CNIL, and exploring potential adequacy under the EU GDPR. In this post I predict that we'll start to see a "master" clause in arbitration agreements, as Justice Gorsuch calls it, which could be useful for any terms of service where companies are concerned about having multiple, potentially conflicting contracts with users.
