You should agree on the objectives, outcomes, and benefits of the amendment, as well as the potential risks and costs. You should also determine whether the amendment is minor or major, and whether it requires formal approval from both parties or not.

nowadays there are a number of tools you can use to facilitate the reading and comprehension of your amendments. A great tool is the function "Track Change" in Microsoft Word. This function will strike out the previous wording and add your amendment in a different colour. You can also enrich your amendment with the function "Comment" where you can explain the reasoning behind your proposed amendment.

3 Review and negotiate

The third step is to review and negotiate the amendment with the other party, and seek legal advice if necessary. You should ensure that the amendment reflects your mutual understanding and agreement, and that it does not create any unintended consequences or liabilities. You should also verify that the amendment complies with the relevant laws, regulations, and standards that apply to your contract. You should address any questions, concerns, or objections that the other party may have, and try to reach a fair and reasonable compromise.

4 Sign and execute

The fourth step is to sign and execute the amendment, following the same procedure as the original contract. In contract amendment - Check contract, enabling clauses, need to amend, parties Consultation, Specs of changes, impact & benefit analysis, Execution, notarization, legal fees & regime registration of the amendment in required. In my experience - Contracts tend to be executed & registered but amendments are not - this impact enforceability if the legal regime requires registration. One thing I have found useful during reviews is a having a Preamble, contract reference, numbering tracking of changes, present the changes in tabular & color coding, apply flexibility, confidentiality, consistency, simplicity and Intergration or entire agreement clause and prevalence of addendum of on whole contract or specific clauses etc.
