View you have reached the negotiation table assuming it is the business you want to get in. First step is determine next best available alternative. Assess manageable risk (which you can live with) and agree on them if other party is not budging down. But consider the extra cost to cover those risks Risks where quantum of exposure is huge and cannot be covered should not be agreed, explain the counterparty why you cannot accept them (example some clauses in the contract) Once you know what can be agreed and what cannot, determine whether it is a one time deal or you will be entering into some deal with the other party again. If it is a one time deal try to have more and more terms in your favour.

From my point of view, during a sales negotiation, analysing the customer's needs is an essential preparation point: taking an interest in your customer and their real needs is essential if you are to make them a relevant sales offer. Always ask what their needs are, what their objectives are, what they would like to see changed for the better and what obstacles they may have to buying. The aim of this phase is to pinpoint the factors that can act as catalysts in the buying decision. If necessary, use the SONCAS or QQOQCP methods to understand your customer's buying motivations.

Practising active listening gives you the keys to understanding your prospect. You can't negotiate effectively without understanding what the other party wants. This is the basis, demonstrate empathy to get closer to his thinking way . Use your experience to help you analyse the need that may or may not be hidden behind your prospect's words. Not everyone will express it simply and clearly. Especially if they haven't yet identified their deepest need. This is where your experience with other contacts and your knowledge of the company's buyer persona will be of great use to you.
